SHELL SELLERS

 

If you are thinking of selling your Shell make sure you hire an experienced professional who has the contacts to find you a qualified Buyer.  You need a representative that is well versed in all aspects of the Buy and Sell side of reverse mergers and is involved in the Shell marketplace on a daily basis.  Pricing your Shell is subject to several variables including, but not limited to, the number and percentage of free trading and restricted shares to be delivered, number of shareholders, liabilities, current market for Shells, etc.

 

In many cases selling your Shell and going private is the smart thing to do.  With implementation of Rule 404 of Sarbanes Oxley it doesn’t make sense for a many small companies to remain public.

 

Ask yourself this question “Am I better off taking my company private, owning 100% of the company, and exiting with enough money to establish a fresh start”.  Many companies have not been able to get traction in the public marketplace for a variety of reasons: market timing, poor management, lack of proper funding, onerous legal and accounting fees, etc.  However, there is a silver lining and that is the value of your OTCBB Shell to a prospective Buyer. Provided you have the proper representation you can rid yourself of the nightmare and still walk away with several hundred thousand dollars.  Not a bad going away present.

 

For those of you who think you can sell the Shell yourself I have one thing to say to you “forgetaboutit”.  If you are one of those “I can do this better than anyone else” people then unfortunately you haven’t learned a thing from your experience of running a public company.  It is that type of mentality that got you where you are today - having to sell your Shell.  Trust me, trying to sell the Shell without representation will only add to your list of bad decisions.
